These Terms and Conditions govern all interactions, transactions, inquiries, and contractual arrangements between SolvX Tech & Trade Inc. and any individual, organization, agency, ministry, government body, or institution that accesses this website, submits a request for quotation, or engages with SolvX in any commercial capacity. By engaging with SolvX, you unconditionally accept these Terms.
SECTION 1 — WHO WE ARE SolvX Tech & Trade Inc. is a Canadian-owned technology trading agency incorporated under the laws of Nova Scotia, Canada. We operate as a business-to-business (B2B) institutional technology trade intermediary. We do not accept consumer transactions. All engagements are institutional in nature.
SECTION 2 — SCOPE OF ENGAGEMENT SolvX sources, qualifies, and supplies technology hardware to institutional clients including foreign governments, public sector agencies, allied defense programs, and critical infrastructure operators. SolvX also provides business automation and system integration services. All engagements are governed by these Terms together with any executed purchase order, quotation acceptance, or written agreement specific to the engagement.
SECTION 3 — QUOTATIONS & ORDERS All quotations issued by SolvX are valid for the period specified within them. SolvX reserves the right to withdraw or amend any quotation prior to formal acceptance. No order is binding upon SolvX until SolvX issues a written Order Confirmation. Verbal agreements, unsigned documents, or email expressions of intent do not constitute binding orders. SolvX reserves the right to decline any order at its sole discretion.
SECTION 4 — PRICING All prices are quoted in Canadian dollars (CAD) for Canada and USD for International unless otherwise specified in writing. SolvX reserves the right to adjust pricing prior to Order Confirmation to reflect changes in supplier pricing, currency fluctuations, freight costs, regulatory compliance requirements, or applicable taxes and duties. Prices do not include import duties, taxes, or customs clearance at the Client's destination unless explicitly stated.
SECTION 5 — INTELLECTUAL PROPERTY All content on solvx.ca — including text, graphics, product descriptions, documents, and policies — is the intellectual property of SolvX Tech & Trade Inc. and may not be reproduced or distributed without prior written permission.
SECTION 6 — CONFIDENTIALITY All commercial information exchanged between SolvX and a Client — including quotations, supplier identities, sourcing arrangements, pricing, and project details — is strictly confidential and shall not be disclosed to any third party without prior written consent from SolvX.
SECTION 7 — LIMITATION OF LIABILITY SolvX's total liability to any Client shall not exceed the total value of the specific Order in question. SolvX shall not be liable for indirect, consequential, incidental, or punitive damages of any kind. SolvX is not liable for delays or non-performance arising from export license delays, sanctions changes, force majeure events, supplier failures, freight disruptions, or government actions.
SECTION 8 — GOVERNING LAW These Terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada. Any dispute shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, disputes shall be submitted to binding arbitration in Halifax, Nova Scotia, Canada.
SECTION 9 — AMENDMENTS SolvX reserves the right to amend these Terms at any time. Continued engagement with SolvX following publication of amended Terms constitutes acceptance.
